BeagleBoard.org Foundation Bylaws

The BeagleBoard.org Foundation is a 501(c) non-profit out of Texas, USA. This wiki page is a place where we are gathering community input to create bylaws to govern community interactions and guidance of the organization.

==Purpose The purpose or purposes for which the corporation is organized are as follows, including, but not limited:

1. To educate and promote the design and use of open source software and hardware in embedded computing. 2. To provide a forum for the owners and developers of open source software and hardware whereby they may exchange ideas, knowledge and experience. 3. To provide an organization for the promotion of communication with other individuals interested in open source software and hardware.

==Members

  • Who can join?
  • Will there be dues?
  • Are there different classes of membership?
  • What is a quorum and how are members notified of meetings?
  • Will there be voting, how will it run and what actions can be taken as the result of a vote?

==Board of Directors

  • Answer similar questions as to members
  • Initial board is Gerald Coley, Jason Kridner and Clint Cooley who have all powers to act for the organization

==Officers and committees

  • What officers/committees do we need and what will they do?
  • How will they be chosen?

=Assets and powers The real assets of the BeagleBoard.org Foundation are the website, the logo, determination of the software shipped with the hardware (ie. what is on http://github.com/beagleboard) and income from licensing the logo and the GSoC mentoring we've been doing. Ultimately control of those is not likely to shift very far out of the hands of the board, but we can set budgets, assign website areas, set public project goals, etc. in a more community-controlled/focused way. We need to avoid making things decision-by-committee, but we should be able to empower both teams (officers/committees) and members to act on the Foundation's behalf in specific areas.
